Introduction<br /> HomeESP provides an Upsell Affiliate Program to enable merchants to earn more revenue from their customers; HomeESP compensates affiliates solely on a pay-for-performance basis. The following sets forth the terms and conditions ("Affiliate Agreement") upon which a merchant ("Merchant") may choose to participate in the HomeESP Upsell Affiliate Program ("Program"). This Agreement is subject to acceptance by HomeESP, and such acceptance may be withheld or rescinded in HomeESP's sole discretion for any reason.<br /> <br /> 2. Participation in the Program<br /> Subject to the terms set forth below, Merchant agrees to the marketing of HomeESP's services ("Services") to its customers who are residents of the United States, Puerto Rico and/or the U.S. Virgin Islands through the placement of one or more banner advertisements on its purchase confirmation pages and/or by means of the webpage and/or email confirmations sent by HomeESP to Merchant customers who join the Services ("Members"). In connection with the foregoing, and without limiting the generality of the foregoing, Merchant consents to (i) the use of Merchant's and Merchant's on-line store's name and/or logo in the Website landing page and email confirmation of membership, and as otherwise necessary to support the Services, and (ii) the use of Merchant's or Merchant's on-line store's name in connection with reminding any Member who joined a Service the manner in which such Member joined, the renewal of such Member's membership and/or the provision of customer service support to such customer. Merchant acknowledges that the copy and/or placement of the banner advertisements, the terms and conditions of the Services offered (including the benefits offered and the monthly fees charged), and the premiums offered, are subject to modification without notice to or consent from Merchant. Merchant agrees that it will not display any marketing for the Services to customers who reside outside of the United States, Puerto Rico and/or the U.S. Virgin Islands. In addition, Merchant agrees that neither its website ("Site") content nor its product and/or service offerings shall include prescription medication, alcohol, tobacco, firearms, sexually explicit materials, gambling and/or any other content or product or online service offering or store whose operation is illegal according to United States law or which HomeESP deems in its sole discretion to be harmful or potentially harmful to HomeESP's reputation. Merchant further agrees that it shall not post any offensive content or incorporate images or content that is in any way harmful, threatening, obscene, harassing or racially, ethnically or otherwise objectionable, or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, as determined in HomeESP's sole discretion. Merchant shall use reasonable commercial efforts to implement the Program in accordance with the written guidelines provided by HomeESP. Merchant shall place the HomeESP offer banner only on the page containing the Merchant's shopping cart and/or on the Merchant's purchase confirmation page. Merchant shall not join, nor will it direct or encourage in any way any of its associates, employees, friends, or family to join any HomeESP membership service for the sole purpose of increasing the fees due to Merchant. Merchant will not join, nor will it direct or encourage in any way any of its associates, employees, friends, or family to join any HomeESP membership service for the sole purpose of redeeming the cash back award. <br /> <br /> 3. Privacy Policy<br /> Merchant represents, warrants and agrees that it has a privacy policy that permits the marketing of the Services as set forth herein. <br /> <br /> 4. HomeESP's relationship with its Members<br /> Merchant acknowledges that HomeESP shall have the right, during the term of, or at any time after the expiration or termination of, Merchant's agreement with HomeESP, to directly bill and/or accept payment from any of Merchant's customers that join the Services, to extend or renew any membership of such customers in the Services, and to send customer service emails to such customers that are members of the Services, whether or not such customers maintain their relationships with Merchant and whether or not Merchant continues to market the Services through Merchant's on-line store. <br /> <br /> 5. Exclusivity.<br /> Merchant agrees it shall not make available to customers any service that is substantially similar to any of the Services and/or place any other third-party creative in its order process if such creative could reasonably be considered to draw customers away from clicking on or viewing the HomeESP offer. <br /> <br /> 6. Audit; Compliance. <br /> Merchant's continuing compliance with these terms and conditions is a condition of continuing participation in the Program. HomeESP reserves the right to review and audit Merchant's Web site and/or advertising practices from time to time to determine if Merchant is in continued compliance with these terms. Merchant's Web site must be and remain fully functional. HomeESP may reject or terminate Merchant if its Web site is not live, is "under construction", or if Merchant's Web site is a personal homepage or personal Web site. <br /> <br /> 7. Payment of Fees. <br /> Each month, Merchant shall earn 15 percent of the monthly fees collected for each Member (as defined herein) paying for subscriptions to HomeESP services during such calendar month. "Member" shall mean an unduplicated customer who (1) enrolls as a first-time bona fide new Service member, (2) is a resident of the United States, Puerto Rico or the U.S. Virgin Islands, (3) provides HomeESP with such customer's valid email, name and address, and valid billable credit or debit card with expiration date and (4) is processed and accepted as a member of the Service through HomeESP's daily authorization process. Merchant agrees to provide accurate, updated contact information at all times in order for HomeESP to communicate and provide payment to Merchant. Merchant's failure to provide accurate, updated contact information may result in delayed payment and/or termination, and HomeESP assumes no responsibility if payment cannot be made due to Merchant's failure to provide accurate, updated contact information. Payments shall be made sixty (60) days following the end of the calendar month in which the fees were earned. In the event of a breach by Merchant of this Affiliate Agreement, Merchant forfeits the right to payment of any fees earned hereunder. <br /> <br /> 8. Use of HomeESP Content. <br /> (a) HomeESP shall provide creative to Merchant to market the Services to Merchant's customers. Such creative ("HomeESP Advertising ") shall be in the form of a banner advertisement. <br /> (b) Merchant will not make any modification to the HomeESP Advertising. <br /> (c) In the event of a modification of the HomeESP Advertising by HomeESP, Merchant will use best efforts to update the HomeESP Advertising immediately after receiving notice via email from HomeESP. <br /> (d) Merchant may not offer, either directly or indirectly, any consideration or incentives to potential members to register for the HomeESP Service(s), including without limitation, payment of money, rebates, discounts, special offers, or other benefits. Merchant is solely responsible for publishing only current pricing information for the Services. <br /> (e) Other than posting the HomeESP Advertising on its order pages, Merchant shall conduct no other promotional or marketing activities, including, but not limited to electronic mail, relating to the Services. <br /> <br /> 9. Publicity.<br /> Neither party shall have make any public statements and/or issue a press release referencing or describing this Agreement or the relationship between the parties hereto without the prior written consent of the other party hereto, which consent shall not be unreasonably withheld.<br /> <br /> 10. Term and Termination <br /> Either party may terminate this Agreement with or without cause on two (2) days prior notice. Merchant may give notice of its intention to terminate by emailing HomeESP at affiliate@HomeESP. HomeESP shall provide notice of its intention to terminate to Merchant by sending an email to the email address Merchant provided when applying to the Program. Upon termination, Merchant agrees to immediately discontinue the display of the HomeESP Advertising. <br /> <br /> 11. Responsibility for the Site <br /> Merchant will be solely responsible for the development, operation, and maintenance of its Site(s) and for all content that appears on Site(s), including but not limited to, technical operation of Merchant's Site(s) and all related equipment; accuracy, timeliness and appropriateness of content posted on Merchant's Site(s); ensuring that materials posted on Merchant's Site(s) do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights); and ensuring that content posted on Merchant's Site(s) is in compliance with this Affiliate Agreement, and not libelous or otherwise illegal. <br /> <br /> HomeESP disclaims all liability for these matters. <br /> <br /> 12. Modification <br /> HomeESP may modify any provision(s) of this Affiliate Agreement upon seven (7) days notice by notifying Merchant via email. If any Merchant does not agree with the terms of such modification, then Merchant has the option of terminating its participation in the Program. Merchant's continued participation in the Program and compliance with such change(s) following HomeESP's notification will constitute Merchant's legally binding acceptance of such change. <br /> <br /> 13. Confidentiality <br /> The terms and conditions of this Affiliate Agreement, including any information and statistics regarding Merchant's participation in the Program, are strictly confidential and may not be disclosed by Merchant to any third party. The restrictions in this Section 11 will not apply to confidential information that is required to be disclosed by the Merchant pursuant to judicial order or other compulsion of law, provided that Merchant shall provide to HomeESP prompt notice of such order and provided that Merchant shall reasonably seek to maintain confidentiality of the disclosure via an appropriate protective order. <br /> <br /> 14. Indemnification<br /> Merchant agrees to indemnify, defend and hold harmless HomeESP from and against any and all liabilities, claims and expenses (including, without limitation, reasonable attorneys' fees), arising out of any breach by Merchant of the representations, warranties and obligations of Merchant contained herein. <br /> <br /> 15. Limitation on Liability. Other than with respect to Merchant's indemnification obligations contained herein, in no event shall either party hereto be liable to the other party hereto for the cost of procurement of substitute services or for any special, indirect, incidental, consequential, punitive or exemplary damage, including, without limitation, damages for loss of use, anticipated profits, revenue, data or information of any kind, or loss of business goodwill or opportunity, however caused and even if such party shall have been advised of the possibility of such damages, on any theory of liability, arising out of or in connection with this Agreement. In no event shall a party's liability arising out of or in connection with this Agreement, whether in contract, tort or otherwise, exceed the amounts actually owed by it (in the case of HomeESP) or to it (in the case of Merchant) under this Agreement.<br /> <br /> 16. General. <br /> This Affiliate Agreement constitutes the entire agreement between Merchant and HomeESP and governs participation in the Program, superseding any prior agreements between Merchant and HomeESP. This Agreement will be governed by and enforced by the laws of the State of Connecticut, and any dispute arising out of this Agreement will be resolved by binding arbitration in Connecticut before a single arbitrator approved by the parties under the Commercial Rules of the American Arbitration Association which are in effect at the time of commencement of the arbitration. The failure of HomeESP to exercise or enforce any right or provision of this Affiliate Agreement shall not constitute a waiver of such right or provision. If any provision of this Affiliate Agreement is found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Affiliate Agreement remain in full force and effect. Merchant will not assign, transfer, sublicense, or otherwise delegate its rights under this Affiliate Agreement without the prior written consent of HomeESP.
